Terms & Conditions

Article 1 – Introduction

1.1 Service provider

"Provider" refers to the company 2Y MEDIA SAS with a capital of ?80904 headquartered at the address listed below:

1.2 Definitions

"Advertiser" means any legal entity with which 2Y MEDIA has entered into a service agreement and that has launched one or more advertising programs on the AdServerPub network.
"Developer" or "Webmaster" means any individual or legal entity operating one or more websites that participate in one or more programs or campaigns.
"Visitor" means any internet user who accesses a Developer's site and who could potentially click on a link inserted in said site, thereby being transferred to an Advertiser's site.
"Program" or "Campaign" means all operations implemented by an Advertiser with a view to increasing its sales and/or acquiring new customers.
Impression" means any instance in which an advertisement is displayed to a Visitor on a Developer's site.
"Click" means any instance in which a visitor clicks on a link embedded in a Developer’s site, thereby redirecting the Visitor to an Advertiser's site, via the Visitor's browser.
"Registration" means any instance in which a Visitor registers on an Advertiser’s site.
"Sales" means any sale made by a Visitor on an Advertiser’s site.
"Cap" means the maximum number of impressions or clicks counted for a predefined period by computer based on IP address.
"Geotargetting" means the act of making the campaign visible only for a certain city, region, or country.

1.3 The AdServerPub tool

The AdServerPub tool is the sole property of the company 2Y Media. Therefore, the site, the platform, the tool, and the scripts are protected by intellectual property law.

Any use or full or partial exploitation, whether for consideration or free of charge, of the tools developed by 2Y Media constitutes grounds for legal action.

Article 2 – Purpose

Developers must register using the form provided for this purpose to become members of the AdServerPub.com ad network. The Developer must accept the terms of this agreement by checking the corresponding box.
Any individual or legal entity, based in France or elsewhere, may register on the AdServerPub networker provided that he/she has a website. Developers must be of legal age or under the legal responsibility of his/her parents or legal guardian.
AdServerPub reserves the right to reject any registration application without explanation. In this case, an email will be sent to the Developer no more than fifteen days after he/she registers.
Once a Developer has registered on the AdServerPub.com website, the Developer is immediately eligible to participate in the advertising Programs and Campaigns offered online by the Advertisers in order to earn money through their websites.
Advertisers may credit their accounts and create campaigns. However, campaigns must be approved by a member of the AdServerPub network prior to launch.

Article 3 – Modification of the website

The Developer or Advertiser agrees to immediately inform AdServerPub.com of any significant modification(s) to the appearance or content of his/her site.
The Developer or Advertiser guarantees AdServerPub.com that the content, text, messages, or data comprising his/her site comply with all applicable laws in France, particularly as regards public order and decency.
In the same way, the Developer guarantees that the hyperlinks contained within his/her site do not connect to sites that are illegal or immoral in content or purpose.
The Developer is solely responsible, in this regard, for the content of his/her site and the links it contains.
AdServerPub reserves the right to delete or block any site that does not comply with the laws in force.

Article 4 – Developer’s compensation

The Advertiser may choose from a variety of different compensation schemes offered through the program:
- By CPM: cost per mille (thousand) impressions of the banner ad.
- By click (CPC): any click by the Visitor on the banner of an Advertiser that links to the Advertiser’s site.
- By double click (DC): any click by the Visitor on the banner of an Advertiser that links to the Advertiser’s site followed by a click on one of the links on the page.
- By registration: any time a Visitor registers on the Advertiser’s site.
- By sales: any sale by a Visitor on the Advertiser’s site. The commission paid may be a fixed amount or a percentage of the sale made.

The number of impressions or clicks counted by computer is limited, depending on the campaign, by a certain cap defined in terms of the number of impressions or clicks over a given period. For example: 2 clicks /12 hours.

The developer acknowledges that the AdServerPub application is trustworthy and reliable and agrees, in the event of a dispute, that said application will serve as proof of the clicks, double clicks, CPM, registrations, and sales for billing purposes.
Developers can track the progress, online, of the advertising campaigns embedded in their website and obtain, at any time, a precise idea of the amounts paid.

At the beginning of every month, the Developer may request payment via the platform if his/her account has a balance greater than or equal to 50 euros, taxes not included.
Any amounts owed to the Developer will be paid within 60 days of receipt of the Developer’s invoice. In the event that the total compensation payable to the Developer does not exceed 50 euros, taxes not included, payment will be deferred until the following month (cumulative).

If an account is closed for any reason, no amount may be paid to the Developer.

In the event that the Advertiser defaults on payment, AdServerPub.com reserves the right to remove or defer any amounts earned and not yet paid by said Advertiser.
In the event of a statistical discrepancy between the Advertiser and AdServerPub, AdServerPub reserves the right to adjust the statistics in question.

Article 5 – Fraud

2Y MEDIA agrees, vis-ŕ-vis the Advertisers, to fight against all forms of fraud.

In the event of a click-based campaign, only the clicks performed spontaneously by internet users will be counted. The following are considered fraudulent clicks:

- Clicks caused by means outside the advertisement issued by the Advertiser, such as:
- The use of a program, script, or any other process that generates automatic clicks on an Advertiser’s URL.
- The act of forcing an internet user to click on an Advertiser's banner for any reason whatsoever through the use of text or images that are unofficial or not approved by the Advertiser.
- Emails with a click- or CPM-based campaign are prohibited unless otherwise specified in the description of the program.
- The act of encouraging Visitors to click on a banner in any manner whatsoever.

In all click-based campaigns that expressly permit click incentivization, only the following will be considered fraudulent clicks:
- Clicks caused by means outside the advertisement issued by the Advertiser, such as:
- The use of a program, script, or any other process that generates automatic clicks on an Advertiser’s URL.

The following will be considered fraudulent acts in all registration-based campaigns:
Registration using incorrect information.
Forced or deceitful registration.
Registrations from the same IP address or email address.

All impressions, clicks, registrations, and sales coming from a site other than that registered under the Developer’s account will also be considered fraudulent.

AdServerPub.com has computerized, statistical tools allowing it to search for any inconsistencies in the various sites registered by the Developers and to detect fraud.

AdServerPub.com reserves the right to shut down the account corresponding to the site of a fraudulent Developer, any amounts owed to said Developer being thereby credited to AdServerPub.com as compensation for the damages sustained as a result of the fraudulent activity. AdServerPub.com will then re-credit the accounts of the Advertisers that were victims of such fraud.

Article 6 – Placement of banner ads

The Tags may only be embedded in the approved website.
Therefore, the Tags may not, under any circumstances, be embedded in non-approved sites, for instance in exchange for a free service.

The ad may not constitute the contents of the page.
The maximum number of ads per page is four. If the number of ads exceeds four, AdServerPub reserves the right to terminate the ad placement service and the account without prior notice.

At least 50% of the ads must be visible when the site is opened (i.e., above the "fold" of the webpage).

Any exception to the rules set forth in Article 6 must be expressly approved by an official from the AdServerPub network.

Sales- and registration-based campaigns may be designed at the Advertiser’s discretion but are subject to the approval of the sales team.

AdServerPub reserves the right to revise the compensation offered for a campaign. The network is required to notify the Developers via email or via a message on the AdServerPub platform within 48 hours.

Article 6 bis – Ad placement schemes

The Developer can choose between two ad placement schemes:
- Specific campaign (single tag).
- Rotating campaigns (ad placement tag).

6.1 Specific campaign:

Developers can only copy the tag corresponding to the campaign from their interface and place it either on their site or in an ad placement management tool (ad server).

The number of impressions and clicks will then be counted up to the limit established as a cap; however, the banners will be displayed on the site indefinitely. The banners will not be displayed and replaced with an AdServerPub banner if the Visitor is not geographically targeted by the campaign.

6.2 Rotating campaigns:

Developers can copy a “rotation tag” from their interface and place it either on their site or in an ad placement management tool.
They can then choose the campaigns that they want to display from their interface and activate or deactivate new campaigns by default.
They can also choose to add a "self-promotion" in the rotation tag to use the impressions that AdServerPub will not be using. Where applicable, AdServerPub reserves the right to place an AdServerPub banner without compensation.

The AdServerPub tool will then manage the campaigns displayed on the website so as to maximize the Developer’s revenue. In the event that an internet user has exhausted all of the campaigns available or if he/she is not geotargeted, the tool will then display the self-promotion and, where applicable, an AdServerPub banner.

Article 7 – Statuses

All Developers using the AdServerPub platform for the first time are assigned "Partner" status. After their site is approved, AdServerPub reserves the right to assign "Silver" or "Gold" or "Network" status. These statuses give the Developer the right to access new campaigns and/or better compensation.

The criteria used to assign status are determined at the full discretion of the AdServerPub team.

Article 8 – Advertisers

All Advertisers that have registered on the AdServerPub platform may add credit to their account. There are three ways to do this:

- By PayPal (account credited within 24 hrs after the payment has been verified).
- By bank transfer to our bank account (contact us by telephone for this method of payment).
- By check made out to 2Y MEDIA – 71 rue fondary, 75015 Paris, France. (Amount credited once the check has been received.)

Once the account has been credited, the Advertiser can create his/her ad campaign(s). However, such campaigns must be approved by a member of the network before they can be launched.

For Advertisers, a minimum deposit of €200.00, taxes not included, and a fee of €100.00, taxes not included, are required for each new campaign.

All amounts paid into an advertiser account can not be recovered. No refunds will be made. They should be used. Otherwise. These amounts will be lost permanently.

Article 9 – Confidentiality and exceptions

All personal information entered on the AdServerPub platform is confidential.
However, AdServerPub informs the Webmaster or Advertiser that it will provide the relevant authorities with any information required by a judicial authority.

Article 10 – Term

The parties enter into this contract for an indefinite term.
It may be terminated at any time by either party.
Termination of the contract, for any reason, shall in no way imply the immediate payability of any amounts that may be owed to the Developer, who shall be paid in accordance with the provisions of Article 3, except in the case that said Developer has been barred from the network pursuant to Article 5.

Article 11 – Declarations by the Developer

The Developer declares and guarantees that he/she has fulfilled, or will fulfill, at his/her expense and on his/her sole responsibility, all relevant administrative requirements necessary to participate in the AdServerPub network.
The AdServerPub network may not be held responsible in this regard under any circumstances by any third party.

The Developer declares that he/she is in compliance with the provisions of the French Data Protection Act (Loi Informatique et Libertés) of January 6, 1978 as regards the use of the site.

Article 12 – Disputes

All disputes relative to the present agreement shall fall under the exclusive jurisdiction of the District Court (Tribunal de Grande Instance) of Paris, France.

Article 13 – Amendments

The Terms & Conditions for the use of Adserverpub.com are subject to change without notice. Any changes are subject to approval via the platform.
